Yottar Terms Of Service

1. Introduction

Welcome to Yottar, a platform operated by Yottar Ltd. ("Yottar", "we", "us", or "our").
These Terms of Service ("Terms") govern your use of the Yottar platform ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

2. Definitions

  1. "User" means any named Licenced Subscriber at an organisation using the Platform.
  2. "Subscription Licence" refers to the fee-based access plan for the Platform.
  3. “Platform” refers to Yottar’s digital twin of the GB electricity grid system.

3. User Accounts

  1. Registration: To use the Platform, you must create an account. You agree to provide accurate information during registration.
  2. Account Security: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
  3. Account Suspension or Termination: We reserve the right to suspend or terminate accounts that violate these Terms or are otherwise harmful to the Platform or other users.

4. Use of the Platform

  1. Permitted Use: The Platform is intended for professional use to evaluate grid connection potential. You agree to use the Platform only for lawful purposes.
  2. User changes: User Licences can be reassigned where Subscription fees have been paid and a User has left a Licenced organisation.
  3. Prohibited Use: You agree not to misuse the Platform. Misuse includes, but is not limited to:
    • Hacking: Attempting to gain unauthorised access to the Platform.
    • Scraping: Extracting data or content from the Platform without permission.
    • Resale or Redistribution: Selling, transferring, or otherwise redistributing any data or content obtained from the Platform to third parties without prior written consent from Yottar.
    • Abusive Behaviour: Engaging in behaviour that is abusive or disruptive to the Platform or other users.

5. Subscriptions and Fees

  1. Subscription Tiers: We offer several tiers of access, each with its own features and pricing.
  2. Fees and Payment: Subscription fees are billed monthly or annually, as chosen by the User. Payment is due within 7 days upon receipt of invoice.
  3. Renewals: Users can renew their license by emailing info@yottar.tech prior to their renewal date.
  4. Changes to Fees and Payment Terms: We may change the fees or payment terms for the Platform at any time. Any changes to fees or payment terms will be communicated to you before they take effect. Your continued use of the Platform after the changes take effect constitutes your agreement to the revised fees or payment terms.
  5. Special offer confidentiality: where special pricing offers are made these are to be strictly confidential.

6. Intellectual Property

  1. All content, designs, and features of the Platform are owned by or licensed to Yottar. Use of the Platform does not grant you ownership of any intellectual property rights.
  2. We may use information processed through the Platform to help us improve our systems and services over time.

7. Warranties and Disclaimers

  1. No Warranty: The Platform is provided "as is" without any warranties.
  2. Limited Liability: We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

8. Reference

  1. Each party may make reference to the relationship for general communications purposes, provided no confidential information is disclosed.

9. Indemnification

  1. You agree to indemnify and hold us harmless from any claims arising from your use of the Platform.

10. Termination

  1. Termination by User: You may terminate your account at any time through your account settings. However, by signing this agreement, you agree to remain committed for the full duration of your selected subscription term (e.g., monthly, annually, or as otherwise agreed upon in your contract). You will not be entitled to a refund for any fees paid, nor will you be released from payment obligations for the remainder of your contract period.
  2. Termination by Company: We may terminate your account if you violate these Terms or for other reasons at our discretion. In such cases, we will refund any unused portion of your subscription fee, unless the termination is due to a breach of these Terms.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform after any changes indicates your acceptance of the new Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

13. Dispute Resolution

Any disputes arising from or relating to these Terms shall be resolved through binding arbitration in England, except where prohibited by law.

14. Miscellaneous

  1. Severability: If any provision of these Terms is found to be invalid, the remaining provisions shall remain in effect.
  2. Entire Agreement: These Terms constitute the entire agreement between you and Yottar regarding the Platform.
  3. Waiver: No waiver of any provision of these Terms shall be deemed a waiver of any other provision.
